Excel Health (Pty) Ltd was registered as a private limited company under the Companies Act (Act No. 25) 1967 on 09 September 2005, and has since been re-registered under the new Companies Act (Act No. 18) of 2011 per certificate of incorporation No. I2005/602. The shareholders of this company are thirty-three (33) Basotho, mostly doctors practicing at their private clinics in Lesotho, with a few from South Africa.
The company aims to be recognised by the Basotho people as a company of Basotho doctors dedicated to offer the best medical services for the people of Lesotho. Maseru Private Hospital provides such an opportunity.
Maseru Private Hospital (MPH) started operations in 1996 with the aim of enabling the local doctors to use the facility for general delivery of health services in a privately managed facility. It started as a company, went under and subsequently became the property of the Government of Lesotho through the Ministry of Finance
Over a time, the hospital exchanged hands between various management teams, and is currently operated by Excel Health (Pty) Ltd (Excel) on a fifteen-year sublease with the Government of Lesotho, which began in September 2009. It is otherwise licensed by the Ministry of Health per Public Health Order No.12 of 1970.
The supreme body vested with the responsibility to provide general direction in the business of MPH is the Annual General Meeting (AGM) of the shareholders and the directors of Excel Health (Pty) Ltd. Every year the AGM is held to consider the performance of the hospital and to elect the Board of Management, among others.
The Board of Management (Board) has the mandate and authority to oversee the operations of the hospital by providing strategic direction and formulating the necessary policies and regulatory framework. The Board has the authority to appoint the Hospital Manager (Manager) who is an ex-officio member and secretary of the Board, as well as the other senior executive managers.
The divisional managers are the heads of the MPH departments as defined in the organisation structures adopted by the Board from time to time, and are part of the executive management structure. They are responsible for the effective and efficient management of all the resources within their departments.
The Manager is the chief accounting officer who provides leadership and is responsible for the day to day running of MPH. He/she is also responsible for the implementation of the policies and strategic goals designed by the board for the efficient and effective running of MPH. The Manager also has the authority to either appoint or dismiss the subordinate hospital employees.
In pursuit of the goals and objectives of MPH, the various levels of the management structure have the authority to form committees, sub-committees, task forces and other similar bodies to perform specific functions, either on a continuous or temporary basis, and such bodies are given clear terms of reference and authority, in order to discharge their responsibilities accordingly.
